These terms govern your use of Offload. We wrote them to be read. By creating an account or using Offload, you agree to them.

1 · acceptance

By creating an account or using Offload, you agree to these Terms and to our privacy policy. You must be at least 13 years old, or the minimum age in your jurisdiction. If you are using Offload on behalf of an organization, you represent that you may bind it to these Terms.

2 · the service

Offload provides donna, a personal secretary that runs on your Mac and works across the accounts you connect: reading context, preparing drafts, and, with your approval, taking actions on your behalf. We are continually improving Offload, and features may change as the product develops.

3 · your account

You sign in with a one-time code sent to your phone and, optionally, a device passkey. You are responsible for keeping access to your devices and phone number secure, and for the activity under your account.

4 · subscription, trial, and billing

  • Offload is one plan, billed monthly: Offload Studio, $49 per month.
  • New subscriptions start with a 7-day free trial that requires a card on file. If you do not cancel before the trial ends, the subscription begins and the card is charged.
  • Subscriptions renew automatically each period until cancelled. Prices and applicable taxes are shown at checkout.
  • You may opt in to usage credits: metered usage past your plan’s included allowance, billed through Stripe at a per-credit rate, under a monthly cap you set. Usage credits are off by default, apply only if you activate them, and never charge past your cap. You can change or remove your cap at any time from the billing portal.
  • Payments are processed by Stripe. We do not store your full card details.

5 · cancellation and refunds

You can cancel anytime from the app or the billing portal. Cancellation stops the next renewal, and you keep access through the end of the current paid period. For refund requests, write to support@offload.so. Nothing in this section limits any refund right the law gives you.

6 · approvals and actions

Offload is built around an approval model. Any action that sends, posts, purchases, or changes something outside Offload is presented to you as a draft and executes only when you approve it. You are responsible for reviewing the actions you approve: when you approve a draft, you direct Offload to take that action on your behalf, and you remain in control of, and responsible for, its contents and consequences.

7 · your content

Your data, and the content donna creates for you, remain yours. You grant us the limited rights needed to operate the service for you: to read, process, store, and act on that content as described in the privacy policy. We do not use your content to train generalized AI models. You are responsible for having the right to connect the accounts and data you bring to Offload.

8 · ai output

donna is powered by artificial intelligence, and AI output can be incorrect, incomplete, or out of date. You should review output, and anything queued for your approval, before relying on it or approving it. As between you and us, you own the output donna produces for you.

9 · acceptable use

You agree not to use Offload to:

  • break the law or infringe the rights of others;
  • send spam, harass, or deceive people;
  • access accounts or data you are not authorized to use;
  • probe, disrupt, or circumvent the service’s security or approval controls;
  • develop or train competing AI models using the service or its output; or
  • violate the terms of the third-party services you connect, such as Google’s.

10 · third-party services

Offload works with third-party services you connect, such as Google, and relies on a set of service providers to operate. Your use of connected services is also governed by their own terms, and we are not responsible for their acts or outages.

11 · disclaimers

Offload is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12 · limitation of liability

To the maximum extent permitted by law, Offload and its operators will not be liable for indirect, incidental, or consequential damages. Our aggregate liability for claims relating to the service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim or $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13 · indemnification

You agree to indemnify Offload against claims arising from your misuse of the service or your violation of these Terms.

14 · governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California, and both sides consent to their jurisdiction, except where the law of your place of residence requires otherwise.

15 · changes

We may update these Terms. When we do, we will update the date above and, for material changes, notify you in the app or by email. Continued use after a change means you accept the updated Terms.
